his License Agreement (“Agreement”) is entered into between SLOMO.IO (“Licensor”, “we”, “us”, or “our”) and the person or business purchasing the Slomo Shopify Theme (“Licensee”, “you”, or “your”).
By purchasing, downloading, installing, or using Slomo, you agree to the terms of this Agreement.
1. GRANT OF LICENSE
Upon purchase of Slomo, we grant you a limited, non-exclusive, non-transferable license to use and customize the theme on one Shopify store owned or controlled by you.
One purchase equals one store license unless otherwise stated at the time of purchase.
If you want to use Slomo on another Shopify store, an additional license must be purchased.
2. OWNERSHIP
Slomo, including its original code, layouts, design system, theme sections, templates, graphics and related materials, remains the intellectual property of SLOMO.IO.
Your purchase gives you the right to use Slomo under this Agreement. It does not transfer ownership of the theme or its intellectual property to you.
Slomo is protected by applicable copyright and intellectual property laws.
3. CUSTOMIZATION
You may modify Slomo for use on your licensed Shopify store.
This includes changing or editing:
- Theme settings
- Colors
- Typography
- Layouts
- Sections
- Templates
- Images and content
- Theme code
You may also hire a designer or developer to customize Slomo on your behalf, provided that the theme remains used only on the Shopify store covered by your license.
Customizing Slomo does not give you ownership of the original theme or the right to redistribute the modified version.
4. PROHIBITED USE
You may not:
- Resell Slomo
- Redistribute Slomo
- Share the theme files with another person or business
- Upload Slomo to file-sharing websites or public repositories
- Give away Slomo for free
- Rent, lease, sublicense or otherwise transfer your license
- Use one license on multiple Shopify stores
- Sell a modified version of Slomo as your own Shopify theme
- Package Slomo into another product for resale or distribution
- Remove or bypass licensing or access restrictions where applicable
Unauthorized distribution or resale may result in termination of your license and further action where permitted by law.
5. USE BY DESIGNERS AND DEVELOPERS
You may provide temporary access to Slomo files to a designer, developer or contractor working specifically on your licensed Shopify store.
They may only use the files for work performed on that store.
They may not keep, reuse, redistribute or install Slomo on another store unless a separate license has been purchased.
6. STORE TRANSFERS
If ownership of your Shopify store changes, the Slomo license may remain with that specific store unless otherwise agreed by us.
The license cannot be separated from the licensed store and transferred to an unrelated Shopify store.
If you stop using Slomo on one store and want to move the license to another store, please contact us before doing so.
7. SHOPIFY PARTNER SETUP
If we create or configure your Shopify store through a Shopify Partner account as part of a paid setup service, your Slomo license will apply to the store created for you.
Transfer of the Shopify store to you does not affect the validity of the Slomo license for that store.
8. UNAUTHORIZED DISTRIBUTION
If Slomo is found being distributed, sold or made available without our authorization, we reserve the right to take reasonable steps to protect our intellectual property.
This may include:
- Requesting removal of unauthorized copies
- Contacting hosting providers, marketplaces or platform operators
- Suspending access to updates or support
- Terminating the relevant license
- Pursuing available legal remedies where appropriate
9. TERMINATION
This Agreement may terminate automatically if you materially breach its terms.
If your license is terminated because of a breach, you must stop using Slomo and remove unauthorized copies in your possession or control.
Sections relating to ownership, intellectual property, prohibited distribution and liability will continue to apply after termination where relevant.
10. UPDATES
Where future Slomo updates are included with your purchase, those updates remain subject to the same license terms.
Receiving an update does not create a new license or allow Slomo to be used on an additional store.
11. SUPPORT
A valid Slomo license may include access to theme support as described on our website.
We may refuse support for unauthorized, redistributed or unlicensed copies of Slomo.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Slomo is provided without any guarantee that it will meet every individual business, design or technical requirement.
We are not responsible for indirect, incidental or consequential losses resulting from the use or inability to use Slomo.
Nothing in this Agreement excludes liability that cannot legally be excluded.
13. NO TRANSFER OF INTELLECTUAL PROPERTY
Purchasing Slomo does not give you the right to claim authorship, ownership or copyright over the original Slomo theme.
Your own branding, content, photography, products and other materials added to the theme remain your property.
14. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of Ukraine, unless applicable mandatory law requires otherwise.
15. CHANGES TO THIS AGREEMENT
We may update this License Agreement from time to time.
The current version will be available on our website together with the date of the latest update.
Any license already purchased remains subject to applicable rights that existed at the time of purchase, except where changes are required by law or agreed between the parties.
